Terms of Service

The agreement governing your use of the RoboPilots platform and services.

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Lazarus Labs, LLC (“Lazarus Labs,” “we,” “us,” or “our”) governing your access to and use of the RoboPilots platform, website at robopilots.com, and all related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Acceptance of terms

By creating an account, accessing the platform, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

Description of service

RoboPilots is a platform that connects businesses (“Clients”) deploying robotic systems with trained remote operators (“Pilots”) who operate those robots from remote locations. The Service encompasses:

  • Remote operation infrastructure: Real-time video streaming, control interfaces, and communication tools enabling Pilots to operate robots remotely.
  • Pilot matching and scheduling: Connecting qualified Pilots with Client robot fleets based on skillset, availability, and operational requirements.
  • Training and certification: Programs to qualify Pilots for specific robot types and operational contexts.
  • Fleet management tools: Dashboards and analytics for Clients to manage their robot operations and Pilot workforce.
  • Data and analytics: Operational data collection, performance metrics, and insights derived from robot operations.

Accounts and registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use of your account
  • Keeping your account information current and accurate

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

Client responsibilities

If you use the Service as a Client deploying robots, you agree to:

  • Ensure robot readiness: Maintain your robotic equipment in safe operating condition and ensure it meets the technical requirements specified by RoboPilots for remote operation.
  • Provide accurate environment data: Supply current facility layouts, operational procedures, safety protocols, and any information necessary for Pilots to operate robots safely in your environment.
  • Comply with regulations: Ensure that robot deployment at your facilities complies with all applicable local, state, federal, and international laws and regulations, including FAA regulations for drone operations and OSHA workplace safety standards.
  • Maintain insurance: Carry appropriate insurance coverage for your robotic operations, including general liability and property damage insurance.
  • Designate on-site contacts: Provide on-site personnel who can respond to safety concerns or equipment issues during remote operations.

Pilot responsibilities

If you use the Service as a Pilot, you agree to:

  • Complete required training: Successfully complete all training and certification programs before operating any robot through the platform.
  • Operate safely: Follow all safety protocols, operational procedures, and guidelines provided by RoboPilots and the Client. Immediately cease operation and report any safety concern.
  • Maintain connectivity: Ensure you have a stable, high-speed internet connection and appropriate hardware meeting our minimum system requirements during scheduled operation sessions.
  • Remain attentive: Maintain full attention during active operation. Do not operate robots while impaired by any substance, fatigue, or distraction.
  • Protect confidentiality: Keep all Client information, operational data, facility details, and video feeds strictly confidential. Do not record, screenshot, or share any content from your operation sessions.
  • Report incidents: Immediately report any accidents, near-misses, equipment malfunctions, or safety concerns through the platform.

Robot operations and safety

Robot operations conducted through the RoboPilots platform are subject to the following provisions:

  • Emergency protocols: All robots operated through the platform must have autonomous safety systems, including emergency stop capabilities, collision avoidance, and safe-state fallbacks in case of connection loss.
  • Connection requirements: Remote operation requires a stable connection. If connectivity falls below safe thresholds, the robot will automatically enter a safe state. Neither RoboPilots nor Pilots are liable for events occurring during connectivity interruptions.
  • Operational boundaries: Pilots must operate robots within the defined operational boundaries and parameters set by the Client and RoboPilots. Unauthorized deviation from operational boundaries is grounds for immediate suspension.
  • Incident investigation: RoboPilots reserves the right to review operational data, telemetry, and video recordings to investigate safety incidents, performance issues, or reported concerns.

Intellectual property

The Service, including its software, interfaces, algorithms, documentation, branding, and all related intellectual property, is and remains the exclusive property of Lazarus Labs, LLC. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You agree not to:

  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works based on the Service
  • Remove any proprietary notices or labels from the Service
  • Use the Service to build a competing product or service
  • Sublicense, resell, or redistribute access to the Service

Clients retain ownership of their proprietary operational data, facility information, and business processes. Pilots retain no ownership rights in any data generated during their use of the Service.

Training data and analytics

By using the Service, you acknowledge that operational data may be used to improve the RoboPilots platform. Specifically:

  • Aggregated analytics: We may create aggregated, de-identified datasets from operational data to analyze trends, improve our matching algorithms, and develop platform features. This data cannot be traced back to any individual Client or Pilot.
  • Training materials: With appropriate de-identification, operational recordings may be used to develop training programs for new Pilots. Clients may opt out of this use by contacting us.
  • Performance benchmarks: Anonymized performance data may be used to establish industry benchmarks and improve safety standards across the platform.

Payment and billing

Fees for the Service are as described in your service agreement or as published on our pricing page. Unless otherwise specified:

  • All fees are quoted in U.S. dollars and are exclusive of applicable taxes
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • We reserve the right to suspend access to the Service for accounts with overdue balances

Pilot compensation is governed by separate contractor or employment agreements and is not covered by these Terms.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LAZARUS LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, WHETHER ARISING FROM CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

ROBOPILOTS PROVIDES A PLATFORM FOR CONNECTING PILOTS WITH ROBOTS. WE DO NOT MANUFACTURE, OWN, OR MAINTAIN THE ROBOTS OPERATED THROUGH OUR PLATFORM. WE ARE NOT LIABLE FOR DAMAGE CAUSED BY ROBOT MALFUNCTION, HARDWARE FAILURE, OR DEFECTS IN ROBOTIC EQUIPMENT PROVIDED BY CLIENTS OR THIRD-PARTY MANUFACTURERS.

Indemnification

You agree to indemnify, defend, and hold harmless Lazarus Labs, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service or violation of these Terms
  • Your violation of any applicable law or regulation
  • Damage to property or injury to persons resulting from your use of robots through the platform
  • Your failure to maintain robots in safe operating condition (Clients)
  • Your negligent or unsafe operation of robots (Pilots)
  • Any third-party claim arising from your use of the Service

Termination

Either party may terminate this agreement at any time by providing written notice. Additionally:

  • Termination for cause: We may suspend or terminate your access immediately if you breach these Terms, engage in unsafe operations, fail to pay fees, or if continued use poses a safety risk.
  • Effect of termination: Upon termination, your right to use the Service ceases. We will retain your data as described in our Privacy Policy. Outstanding payment obligations survive termination.
  • Data export: Clients may request an export of their operational data within 30 days of termination. After this period, we may delete your data in accordance with our retention policies.

Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee specific uptime, latency, or video quality for remote operations. Network conditions, hardware limitations, and other factors beyond our control may affect Service performance.

RoboPilots does not guarantee the availability, qualification, or performance of any specific Pilot, nor do we guarantee the safety or fitness of any robotic equipment operated through the platform.

Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with the arbitration conducted in Delaware.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

Changes to these terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the “Last updated” date and providing notice through the platform or via email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree with the modified Terms, you must stop using the Service and may terminate your account.
